These Terms of Service ("Terms") govern your access to and use of the website, platform, and services provided by Agrimi, Inc. ("Agrimi," "we," "us," or "our"). By using Agrimi, you agree to these Terms.

1. Eligibility

You must be at least 18 years old and have the authority to bind the organization on whose behalf you are using Agrimi. By creating an account, you represent that you meet these requirements.

2. Account responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us immediately at hello@agrimigrc.com if you suspect unauthorized access.

3. Acceptable use

You agree not to:

• Use Agrimi for any unlawful purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the platform or its infrastructure
• Reverse-engineer, decompile, or disassemble any part of the platform
• Resell or redistribute access to Agrimi without our written consent
• Upload content that infringes on third-party intellectual property rights

4. Your data

You retain ownership of all data you upload to Agrimi ("Customer Data"). You grant us a limited license to process your Customer Data solely to provide and improve the Agrimi platform. We will not access your Customer Data except as necessary to operate the service, provide support you request, or comply with law. 5. AI assessor

Agrimi's AI assessor provides compliance guidance based on framework requirements and the evidence you supply. AI-generated assessments are informational and do not constitute legal, regulatory, or professional compliance advice. You are responsible for verifying all outputs and making your own compliance decisions. Agrimi does not guarantee that use of the platform will result in passing any audit or certification. Where a framework permits self-assessment, any score, affirmation, or attestation you submit is your own representation, made on your authority and not ours. You remain solely responsible for its accuracy and for any consequences of submitting it.

6. Pricing and payment

Agrimi is offered at $100 per month or $1,000 per year. Prices are subject to change with 30 days' notice. All fees are non-refundable except where required by law. If you cancel, your access continues through the end of the paid period.

7. Free trial

We may offer a free trial period. At the end of the trial, you will need to subscribe to continue using Agrimi. We will not charge you without your consent. No credit card is required to start a trial.

8. Intellectual property

Agrimi and its logos, design, and content are the property of Agrimi, Inc. and are protected by copyright, trademark, and other laws. These Terms do not grant you any right to use our trademarks or branding without written permission.

9. Disclaimer of warranties

Agrimi is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or secure.

10. Limitation of liability

To the maximum extent permitted by law, Agrimi's total liability to you for any claims arising from or related to these Terms or the platform is limited to the amount you paid us in the 12 months preceding the claim. Agrimi is not liable for any indirect, incidental, special, consequential, or punitive damages.

11. Indemnification

You agree to indemnify and hold Agrimi harmless from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your use of the platform, your violation of these Terms, or your violation of any third-party rights.

12. Termination

Either party may terminate these Terms at any time. You may cancel your account by contacting us. We may suspend or terminate your access if you violate these Terms, with or without notice. Upon termination, you may request export of your Customer Data for up to 30 days. After that period, we may delete it.

13. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes arising from these Terms will be resolved in the state or federal courts located in Florida.

14. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Continued use of Agrimi after the effective date constitutes acceptance of the updated Terms.
